1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and iNVEEY ("Company," "we," "us," or "our") governing your access to and use of the iNVEEYwebsite, mobile applications, and all related services (collectively, the "Service").

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that:

You have not been previously suspended or removed from the Service

When you create an account, you agree to:

Maintain the security of your password and account
Accept all responsibility for activities that occur under your account
Immediately notify us of any unauthorized use of your account

You are solely responsible for safeguarding your password and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. User Conduct and Prohibited Activities

YOU ARE SOLELY RESPONSIBLE FOR YOUR CONDUCT AND INTERACTIONS WITH OTHER USERS.

You agree NOT to use the Service to:

Harass, stalk, threaten, or intimidate any person
Engage in any criminal activity, including but not limited to stalking, harassment, fraud, identity theft, or any conduct that violates local, state, national, or international law
Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
Collect or store personal data about other users without their express consent
Use the Service for any commercial solicitation purposes without our prior written consent
Interfere with or disrupt the Service or servers or networks connected to the Service
Use any automated means to access the Service for any purpose without our express written permission
Transmit any viruses, worms, or malicious code
Attempt to gain unauthorized access to other users' accounts or any part of the Service
Use location features to track, follow, or monitor any person without their consent
Use networking or companionship features for purposes other than legitimate professional or social networking

Violation of these conduct rules may result in immediate termination of your account and may be reported to law enforcement authorities.

5. Disclaimer of Liability for User Actions

IMPORTANT: READ CAREFULLY

INVEEY IS NOT RESPONSIBLE OR LIABLE FOR THE CONDUCT OF ANY USER, WHETHER ONLINE OR OFFLINE.

YOU ACKNOWLEDGE AND AGREE THAT:

You assume all risk when interacting with other users, whether in person or online
iNVEEY does not conduct criminal background checks on users or otherwise inquire into the background of users
iNVEEY makes no representations or warranties as to the conduct, identity, intentions, legitimacy, or veracity of users
iNVEEY is not liable for any damages arising from your interactions with other users, including but not limited to bodily injury, emotional distress, property damage, or financial loss
iNVEEY is not liable for any criminal acts committed by users, including but not limited to stalking, harassment, assault, fraud, theft, or any other criminal activity
You are solely responsible for taking appropriate precautions in all interactions with other users

You agree that iNVEEY, its officers, directors, employees, agents, and affiliates shall not be liable for any claims, damages, losses, or expenses arising out of or related to:

Any interaction between you and any other user
Any user's violation of these Terms
Any criminal or tortious conduct by any user
Any misrepresentation made by any user
Any dispute between users

6. User Content

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant iNVEEY a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of operating and improving the Service.

You represent and warrant that:

You own or have the necessary rights to your User Content
Your User Content does not infringe any third party's intellectual property rights
Your User Content complies with these Terms and all applicable laws

7. Location-Based Features

Certain features of the Service may use location data. By enabling location services, you acknowledge and agree that:

Your location may be visible to other users based on your privacy settings
You are responsible for managing your location visibility settings
iNVEEY is not responsible for any consequences arising from the disclosure of your location
You will not use location features to track, stalk, or monitor any person
You understand that location data may not always be accurate

Using location features to stalk, harass, or track individuals is strictly prohibited and may be reported to law enforcement.

8. Networking and Companionship Features

If you use features that indicate you are "looking for companionship" or similar networking features, you do so at your own risk.

You acknowledge and agree that:

iNVEEY is a platform that facilitates connections but does not vet, verify, or endorse any user
You are solely responsible for your safety when meeting or interacting with other users
iNVEEY does not guarantee the accuracy of any user's profile information
You should exercise caution and good judgment in all interactions
You should meet other users in public places and inform someone of your whereabouts
iNVEEY is not a matchmaking service and makes no guarantees about finding connections

9. Indemnification

You agree to indemnify, defend, and hold harmless iNVEEY, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or relating to:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any rights of another person or entity
Your User Content
Any interactions between you and other users
Any criminal or tortious conduct on your part

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

INVEEY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

INVEEY DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICE IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INVEEY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

IN NO EVENT SHALL INVEEY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO INVEEY IN THE PAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

12. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and iNVEEY agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, rather than in court, except that either party may seek injunctive or other equitable relief in court for infringement of intellectual property rights.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between iNVEEY and you individually. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Any arbitration shall be administered by a mutually agreed-upon arbitration service and shall take place in the jurisdiction where iNVEEY is headquartered.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of iNVEEY and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

15. Reporting Violations and Safety Concerns

If you experience or witness any harassment, stalking, or criminal activity, please:

Contact law enforcement immediately if you feel you are in danger
Report the user through our in-app reporting feature

We take all reports seriously and will cooperate with law enforcement as required by law.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which iNVEEY is incorporated, without regard to its conflict of law provisions.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and iNVEEY concerning the Service.
