1. Agreement to Terms

By accessing or using iNVEEY's services, including our website, mobile applications, and NFC tags (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and iNVEEY. You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement.

2. Description of Services

iNVEEY provides digital business card services through NFC (Near Field Communication) technology. Our Services include:

• Digital profile creation and management
• NFC tag programming and functionality
• Contact sharing capabilities
• Analytics and tracking features
• Profile customization options
• vCard generation and download

3. Account Registration and Security

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. User Conduct and Prohibited Uses

You agree not to:

• Use the Services for any unlawful purpose or in violation of any laws
• Impersonate any person or entity or falsely represent your affiliation
• Upload or share content that is offensive, defamatory, or infringes on others' rights
• Attempt to gain unauthorized access to any portion of the Services
• Interfere with or disrupt the Services or servers
• Use automated systems or software to extract data from the Services
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Resell or commercially exploit the Services without our permission

5. Intellectual Property Rights

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of iNVEEY or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of content you upload to your profile. By uploading content, you grant iNVEEY a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Services.

6. Payment Terms

Certain features of our Services require payment. By purchasing our products or services, you agree to:

• Pay all fees and charges at the prices in effect when incurred
• Provide valid payment information
• Be responsible for all taxes associated with your purchase

All purchases are final and non-refundable unless otherwise stated or required by law. We reserve the right to modify our pricing at any time.

7. Product Delivery and Risk of Loss

For physical products (NFC tags), delivery times are estimates only. Risk of loss and title for physical products pass to you upon delivery to the carrier. We are not responsible for delays or delivery failures caused by the carrier.

8. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy. By using our Services, you consent to our collection and use of your information as described in the Privacy Policy.

9. Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, iNVEEY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free. We do not guarantee the accuracy, completeness, or usefulness of any information on the Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, iNVEEY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless iNVEEY and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you upload or share through the Services

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will cease immediately.

You may terminate your account at any time by contacting us. Termination does not entitle you to any refunds.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms and changing the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in California, and judgment on the award may be entered in any court having jurisdiction.

15. Class Action Waiver

You agree that any disputes will be resolved individually and not as part of a class action or representative proceeding. You waive your right to participate in a class action lawsuit or class-wide arbitration.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and iNVEEY regarding the use of our Services and supersede all prior agreements and understandings.
